Public Beta Agreement

1. Agreement and order of terms

This Public Beta Agreement (the “Beta Agreement”) is between you and Delphi Labs Inc., a Delaware corporation (“Delphi,” “we,” “us,” or “our”). It supplements the Terms of Service, Privacy Policy, and Acceptable Use Policy, which are incorporated here. Capitalized terms not defined here have the meaning in the Terms. If this Beta Agreement conflicts with the Terms on a matter specific to the Public Beta, this Beta Agreement controls for that matter. The Terms control all other matters, including billing, ownership, indemnity, governing law, individual arbitration, and the class-action waiver.

2. Eligibility and authority

You must be at least 18, legally capable of entering this agreement, and authorized to bind any organization for which you use the Public Beta. The Public Beta is unavailable where prohibited by law, sanctions, provider restrictions, or Delphi policy.

3. Pre-release nature

The Public Beta is unfinished evaluation software. Features may be incomplete, experimental, inaccurate, unstable, incompatible, unavailable, materially changed, or removed without notice. It may contain defects that cause data loss, service interruption, unexpected charges, account changes, incorrect output, or unintended tool actions. Performance in the beta does not promise the performance, features, price, or availability of any future release.

4. Evaluation license and restrictions

Subject to this Beta Agreement and the Terms, Delphi grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Public Beta on supported devices for evaluation, feedback, and authorized productive testing during the beta period. You may not sell, sublicense, rent, distribute, publicly host, bypass licensing or metering, defeat safeguards, extract provider credentials, probe private routing, or reverse engineer the Public Beta except to the limited extent such a restriction is prohibited by law.

5. Autonomous actions and your responsibility

Thaddeus can generate content, run code, operate software, access files and connected accounts, send communications, call tools, and take other actions with real effects. AI output and action selection can be wrong. You are responsible for your instructions, permissions, credentials, recipients, content, review, and use of every result.

• Use test or least-privilege accounts where practical and revoke access you no longer need.
• Maintain current, independent backups and a recovery plan before allowing file, code, account, or system changes.
• Review consequential actions and output before publication, deployment, payment, communication, deletion, or reliance.
• Do not use the Public Beta for emergencies, safety-critical systems, weapons, critical infrastructure, or as the sole basis for medical, legal, financial, employment, housing, credit, insurance, eligibility, or other high-impact decisions.
• Use calling, messaging, recording, voices, likenesses, and personal data only with every required right, consent, disclosure, and opt-out process.

6. Third-party services

Connected apps, model and media providers, telephony, browsers, marketplaces, and other third-party services are governed by their own terms and may change, charge, suspend, or discontinue access. You authorize the Public Beta to send the information and instructions needed to perform actions you request through services you connect. Delphi does not control third-party availability, output, security, charges, or policy decisions.

7. Data, diagnostics, and privacy

The Privacy Policy explains how data is handled. The Public Beta may collect or transmit operational diagnostics, crash information, feature events, device and version information, usage metering, and support information needed to provide, secure, debug, and improve the Services. Requested model, media, telephony, web, or connected-app operations may send relevant Input to the applicable service provider. Do not submit regulated or highly sensitive data unless Delphi has expressly agreed in writing to the required safeguards.

8. Feedback

Feedback is voluntary. If you provide ideas, reports, recordings, suggestions, or other feedback about the Public Beta, you grant Delphi a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback without restriction or compensation. This does not transfer ownership of your Input or Output.

9. Updates and changes

The Public Beta may check for, download, or install signed updates as described in the software. Updates may add, change, reset, or remove features and may be required for continued access, security, compatibility, or support. You are responsible for reviewing release information and maintaining compatible systems and backups.

10. Public status; no confidentiality promise

This is a public beta, and this Beta Agreement does not make publicly released software or public documentation confidential. It also does not authorize disclosure of credentials, security vulnerabilities before coordinated disclosure, Delphi trade secrets, or material separately provided under a written confidentiality obligation.

11. No service level or support commitment

The Public Beta has no uptime, response-time, support, compatibility, data-retention, or feature-availability commitment. Support, if offered, is discretionary. Maintain alternatives for important work.

12. Suspension and termination

You may stop using and uninstall the Public Beta at any time. Delphi may limit, suspend, or end the Public Beta or your access at any time for security, legal, operational, provider, cost, abuse, or product reasons. On termination, you must stop using the Public Beta. Sections that by their nature should survive—including restrictions, feedback, disclaimers, liability, dispute, and general provisions—survive.

13. Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLIC BETA AND ALL OUTPUT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND. DELPHI AND ITS SUPPLIERS DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND DATA PRESERVATION.

The exclusions and liability limits in the Terms apply to the Public Beta. Without limiting them, Delphi is not responsible for lost or corrupted data, downtime, incompatible updates, incorrect output, autonomous actions, connected-service actions, missed communications, provider changes, or your failure to maintain backups and supervision. Some jurisdictions do not allow certain exclusions, so mandatory rights remain unaffected.

14. Export and legal compliance

You will comply with applicable export-control, sanctions, anti-corruption, privacy, communications, intellectual-property, consumer-protection, and sector-specific laws. You represent that you are not prohibited from receiving the Public Beta and will not make it available to a prohibited person, territory, or end use.

15. Electronic acceptance and records

You consent to electronic contracting, notices, and records. Clicking the unchecked acceptance box and “Accept and download,” or installing or using the Public Beta after this Beta Agreement is presented, is your electronic acceptance. You may print or save this page for your records. The agreement version shown above identifies the terms presented for this release.

16. General and contact

This Beta Agreement and the incorporated Terms are the entire agreement about the Public Beta unless a signed written agreement says otherwise. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder continues. No waiver is continuing. Contact Delphi Labs Inc. at dakotastewart@delphilabsinc.com.
