Terms of Service

1. Agreement and provider
These Terms are a binding agreement between you and Delphi Labs Inc., a Delaware corporation ("Delphi," "we," "us," or "our"), governing Thaddeus software, websites, APIs, hosted inference, Calling Agents, Dreamify, connectors, and related services (collectively, the "Services"). By creating an account, purchasing a plan, clicking acceptance, downloading, or using the Services, you agree to these Terms, our Acceptable Use Policy, Privacy Policy, and any service-specific terms presented to you.
If you use the Services for an organization, you represent that you can bind it. You must be at least 18 and legally capable of entering this agreement. The Services are not offered where prohibited by law or applicable sanctions.
2. What Thaddeus is
Thaddeus is an AI-assisted automation system. It can generate content, use tools, access connected accounts, operate software, create media, and, when separately purchased, initiate communications. AI output can be incomplete, inaccurate, offensive, non-unique, or unsuitable. Tool use can change or delete data, send communications, purchase services, run code, or cause other real-world effects.
You—not Delphi—choose the permissions, instructions, recipients, data, and actions. You must supervise material actions, maintain backups, use least-privilege credentials, and independently review output before relying on it. The Services are not a substitute for professional judgment.
3. Accounts and security
- Provide accurate billing and contact information and keep it current.
- Keep license keys, authentication codes, devices, and connected accounts secure. Do not share or resell an account unless we authorize it in writing.
- You are responsible for activity under your account and must promptly report suspected compromise.
- We may require identity, phone, payment, domain, or organization verification and may reject or suspend unverifiable accounts.
4. Plans, Compute Units, and limits
Base plans include a stated quantity of Compute Units. A Compute Unit is an internal cost-weighted usage unit, not a raw model token, minute, message, promise of work, or stored-value currency. Different operations consume different amounts. For example, reasoning and output tokens generally consume more units than cached or input tokens; image, video, speech, web, and tool operations consume units based on provider cost. Provider-reported cost controls when available.
- Base allowances reset on the plan billing date and do not roll over.
- Five-hour usage windows limit short-term consumption. Each window begins with the first metered request after the prior window expires. Unused window capacity does not roll forward.
- Displayed estimates are informational. Actual workload, context size, model reasoning, media settings, caching, and provider pricing affect usage.
- We may impose concurrency, rate, abuse, file-size, duration, geographic, or safety limits even when units remain.
- Units and add-on allowances are non-transferable, have no cash value, and expire with the applicable period.
5. Add-ons
Add-ons require an active base subscription under the same account email and are billed as separate automatically renewing subscriptions. Purchasing, canceling, suspending, or refunding one subscription does not automatically purchase, cancel, suspend, or refund another. You are responsible for managing each subscription separately.
Dreamify
Dreamify image and video features may use the base allowance. A Dreamify add-on supplies additional media-only Compute Units for its monthly period. Media units cannot be used for text, calls, refunded as cash, transferred, or rolled over.
General Compute
A General Compute add-on supplies the stated monthly weighted Compute Units for supported text, reasoning, tools, Calling model inference, image, and video operations. It does not change the base tier, guarantee a fixed number of messages or jobs, remove concurrency or safety limits, roll over, or have cash value.
Calling Agents
Calling Agents require a separate active monthly pack. Packs include the stated connected-call seconds and one managed number while the pack remains active. Model inference during a call consumes the base plan separately. Unless we state otherwise, unused seconds expire each month, calls are capped at ten minutes, one outbound call may run at a time, and support is limited to approved domestic-rate +1 destinations. If messaging is enabled for your account, one outbound SMS segment consumes one Calling minute. Carrier, provider, fraud, safety, registration, and geographic restrictions also apply.
6. Billing, renewal, cancellation, and refunds
- Prices are in U.S. dollars, exclude taxes, and are charged in advance through Stripe. Subscriptions renew automatically until canceled.
- You authorize recurring charges, taxes, and disclosed add-ons. If payment fails, we may retry, limit, suspend, or terminate access.
- Cancel before renewal through the available billing portal. Cancellation normally takes effect at the end of the paid period. Deleting the app does not cancel billing.
- Except where law requires otherwise or we expressly agree in writing, charges are non-refundable and partial periods, unused units, minutes, numbers, and add-ons receive no credit.
- We may change future prices or allowances with advance notice. Changes apply no earlier than the next renewal unless needed sooner to address law, fraud, provider action, or a security emergency.

7. Your content and output
You retain rights you have in content you submit ("Input"). As between you and Delphi, and to the extent permitted by law, you own generated output ("Output"). You grant Delphi and our subprocessors a worldwide, non-exclusive license to host, copy, transmit, transform, and process Input and Output only as reasonably needed to provide, secure, support, meter, and enforce the Services; comply with law; and prevent abuse.
You represent that you have all rights and consents needed for Input, connected data, voices, likenesses, recordings, phone numbers, recipients, and requested actions. Output may resemble other output and may not qualify for intellectual-property protection. You are responsible for clearance, attribution, disclosure, and lawful use.
8. Connected services and credentials
Connectors and third-party services are governed by their own terms. You authorize the Services to access and act through accounts you connect. We are not responsible for a third party's availability, security, data, fees, policy changes, suspension, or acts. You must not connect an account you lack authority to use. Revoke access when it is no longer needed.
9. High-impact and professional uses
Do not use the Services as the sole basis for medical, legal, financial, credit, employment, housing, education, insurance, eligibility, law-enforcement, critical-infrastructure, or other high-impact decisions. A qualified human must make and document any legally significant decision. The Services are not an emergency service and must not be used to contact 911, dispatch responders, provide crisis intervention, or control safety-critical systems.
10. Calling and messaging obligations
Calling Agents are offered only for wanted, lawful communications. Before each call or message, you represent and warrant that:
- you have documented every consent required for the recipient, content, technology, purpose, time, and jurisdiction—including prior express written consent where required for marketing or AI/artificial-voice calls;
- you have scrubbed applicable national, state, internal, and industry do-not-call lists and will honor revocation or opt-out by any reasonable method immediately;
- the agent will clearly identify itself as AI, accurately identify your organization and purpose at the beginning, provide required contact information, and never claim to be human;
- you will comply with the TCPA, Telemarketing Sales Rule, CAN-SPAM where applicable, state mini-TCPA, calling-time, caller-ID, recording, wiretap, consumer-protection, privacy, and sector-specific laws;
- you will not make unsolicited marketing calls, call-bomb, spoof identity, harass, threaten, deceive, impersonate, or contact emergency lines; and
- you will maintain consent, suppression, campaign, script, and recipient records for at least five years and promptly provide them to Delphi on request.
We may block destinations, scripts, categories, campaigns, or accounts; inspect compliance records; disable inbound routing; and immediately suspend Calling Agents without refund when we suspect unlawful, unwanted, or harmful communications. You are the caller/sender and solely responsible for the campaign. Delphi, ElevenLabs, Twilio, model providers, and carriers are service providers, not the initiator of your communication.
11. Voice, transcript, and sensitive-data restrictions
Do not clone or imitate a person's voice or likeness without their verifiable permission and all required disclosures. Do not submit passwords, authentication codes, full payment-card or bank-account numbers, government identifiers, protected health information, biometric templates, or other specially regulated data unless Delphi has expressly agreed in writing to the required safeguards. Thaddeus does not intentionally enable Twilio call recording at launch, but voice providers necessarily process live audio and may create or retain transcripts and metadata. You must give every required disclosure and obtain every required recording or processing consent.
12. Acceptable use
You must follow our Acceptable Use Policy and provider policies incorporated there. You may not bypass metering, limits, safeguards, signatures, authorization, or geographic controls; probe or reverse engineer models or the Services; resell access; harvest personal data; train a competing foundation model from Output; or use the Services for illegal, fraudulent, deceptive, infringing, abusive, dangerous, or privacy-invasive activity.
13. Monitoring and enforcement
We may use automated and human review to detect abuse, investigate incidents, verify usage, and respond to legal or provider demands. We may restrict, quarantine, delete, report, preserve, or disclose content or activity when reasonably necessary to operate the Services, enforce these Terms, protect users or third parties, or comply with law. We are not obligated to monitor every action and our failure to block an action does not make it authorized.
14. Suspension and termination
We may immediately limit or suspend any feature or account for nonpayment, security risk, abnormal cost, provider restriction, legal request, suspected abuse, policy violation, harm, or risk to Delphi or others. We may terminate for material or repeated breach. You may stop using the Services and cancel subscriptions at any time. Upon termination, your right to use the Services ends; accrued payment, ownership, warranty, liability, indemnity, dispute, and enforcement provisions survive.
15. Changes and availability
Models, providers, features, limits, platforms, and outputs may change, degrade, pause, or be discontinued. Beta, preview, autonomous, Calling, and media features may be less reliable and may change without notice. We do not promise uninterrupted service, any particular model, response time, output, compatibility, or preservation of data. Maintain independent copies and contingency plans.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." DELPHI AND ITS SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
17. Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELPHI AND ITS AFFILIATES, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; SUBSTITUTE SERVICES; OR DAMAGES FROM OUTPUT, AUTONOMOUS ACTIONS, COMMUNICATIONS, CONNECTORS, OR THIRD PARTIES, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DELPHI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT. These limits do not apply where prohibited by law.
To the extent permitted by law, you will defend, indemnify, and hold harmless Delphi, its affiliates, personnel, and suppliers from claims, penalties, investigations, losses, and expenses (including reasonable attorneys' fees) arising from your Input, Output, connected accounts, recipients, communications, autonomous actions, violation of law or these Terms, infringement, privacy or publicity violations, or your users. Calling, consent, telemarketing, texting, recording, do-not-call, impersonation, and regulated-data claims are expressly included.
18. Disputes; individual arbitration; class waiver
Before filing a claim, each party will give written notice describing the dispute and requested relief and allow 30 days for informal resolution. Notices to Delphi must be sent to dakotastewart@delphilabsinc.com with subject “Legal Dispute Notice.”
Except for eligible small-claims matters or requests for temporary injunctive relief concerning unauthorized access or intellectual property, disputes will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its applicable Consumer or Commercial Arbitration Rules. The Federal Arbitration Act governs. Arbitration may occur by video, documents, telephone, or at a mutually agreed location.
YOU AND DELPHI WAIVE JURY TRIAL AND THE RIGHT TO BRING, JOIN, OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY.
You may opt out of arbitration by emailing the address above within 30 days after first accepting these Terms, stating your name, account email, and a clear request to opt out. Opting out does not affect the rest of the Terms. If a court finds part of this Section unenforceable, the remainder survives to the fullest extent permitted.
19. Governing law
Delaware law governs without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. Where arbitration does not apply, exclusive jurisdiction and venue lie in the state or federal courts located in Delaware, and each party consents to those courts. Mandatory consumer protections in your home jurisdiction remain unaffected where they cannot lawfully be waived.
20. General
You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, sale, or transfer of the Services. These Terms are the entire agreement for the Services unless a signed order form says otherwise. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest remains effective. No waiver is continuing. Headings are for convenience. Electronic notices and acceptance are valid. No partnership, agency, employment, fiduciary, or joint venture is created.
21. Updates and contact
We may update these Terms. Material changes will be posted or otherwise notified and apply on the stated date. Continued use after that date constitutes acceptance where permitted; if you disagree, stop using the Services and cancel before renewal.
